The By Laws: The Gallinais Kingdom Union Essay

PREAMBLE

We, the citizens of Cape Mount County and Pujehun District from both Liberia and Sierra Leone in the United States of America; united in common purpose, hereby rededicate ourselves to the principles of sustainable historical connection between our two countries. It is in the interest of the peoples of both Tewor District in Liberia and Sorogbema and Makpele chiefdoms in Sierra Leone in particular; and the Liberians and Sierra Leoneans from both Cape Mount County and Pujehun District in the United States in general; to recognize, protect, propagate, and manifest Cape Mount County and Pujehun District National awareness of belief in the form of togetherness, cultural, charity, teaching and observance.

That the vitality of Cape Mount County and Pujehun District’s Educational, Economic, Social justice, cultural, equality and peace, are the foundation of enduring strength. The Gallinais Kingdom Union members in the United States believe and acknowledge that, in order to help our people, we must have trust and sustainable Unity amongst ourselves. There is no reason why Cape Mountanians and the people of Pujehun District cannot honestly come together, stay together and make positive things happen without exerting pressure on any member.

FRAME WORK

The Gallinais Kingdom Union/GBEYAH River Cultural Initiative’s framework is based on individual freedom, Educational awareness, cultural, charity, and the core family bond with full freedom in both Cape Mount county and Pujehun District. The Gallinais Kingdom Union/GBEYAH River Cultural Initiative Bylaws is bound by the United States Constitution. Gallinais Kingdom Union pledges to conduct its affairs in a manner worthy of a free society and integrity. The Gallinais Kingdom Union/GBEYAH River Cultural Initiative is a Union with perpetual succession; powers to acquire; hold and dispose of property- tangible or intangible; enter into contracts; sue and be sued; and do all that is necessary for the purpose of carrying out the aims and objectives of the union. To these ends and upon these principles, we do establish and adopt these bylaws.

ARTICLE 1: NAME
The name of this Union shall be The Gallinais Kingdom Union/THE GBEYAH RIVER CULTURAL INITIATIVE. A non-profit Union.

ARTICLE 2: ADDRESS

ARTICLE 3: MOTTO
The motto of this Union shall be Educational, cultural, charitable and collective family involvement by all members.

ARTICLE 4: AIMS AND OBJECTIVES
The aims and objectives of this UNION shall be, to collectively serve all members, Vis a Vis Endeavors to:
(a) Serve the interest of all its members.
(b) Promotes friendly relationship and understanding amongst them (c) Promotes peace, unity and friendship between the peoples of Cape Mount county and Pujehun District. (d) Gives reasonable assistance to immediate family members (husband/wife, under age children of members, mother/father) in times of distress. (e) Foster and maintain cordial relationships with every member.

ARTICLE 5: MEMBERSHIP

MEMBERSHIP REQUIREMENTS:

(a) Every Cape Mountanian and Pujehun District person is eligible to be a registered member of this UNION if he/she has reached majority age and is of sound mind. (b) He/she accepts to abide by the bylaws of this UNION and all other rules and regulations. (c) A registered member anywhere may still
retain his/her membership status if he/she moves to anywhere. (d) All spouses are automatic members by default if he/she intends.

SUBSCRIPTIONS:

ARTICLE 6: MEMBERSHIP RESPONSIBILITIES
(a) In addition to the rights and responsibilities in the bylaws, UNION members must always comport themselves in the UNION activities including but not limited to meetings and all other UNION events at all times. Failure to adhere to these membership responsibilities, and if there is any breach, the chair of that occasion may take measure to remedy the situation including suspension (not more than two meetings). But no chair can expel any member without the approval of the ADVISORY BOARD and two third memberships present.

ARTICLE 7: ORGANS OF the Gallinais Kingdom Union/GBEYAH RIVER CULTURAL INITIATIVE The Gallinais Kingdom/GBEYAH RIVER CULTURAL INITIATIVE in the United States shall have the following organs:

1. The National Executive Council

2. The Advisory Board
The Gallinais Kingdom Union/GBEYAH RIVER CUL. INI. NATIONAL EXECUTIVE COUNCIL: The Gallinais Kingdom Union National Executive Council shall comprise of the following:

(a) The chairperson
(b) The vice chair
(c) The secretary General (Sec Gen)
(d) The deputy secretary general
(e) The coordinators
(f) The treasurer
(g) The Women’s leader
(h) The social secretary
(i) The Rapid Response Team (communication)

(a) The Gallinais Kingdom Union National Executive Council shall be the administrate arm and supreme decision making body of all activities subject to the Advisory Board and the general memberships.

(b) The National Executive Council shall be subject to the laws of the United States, these bylaws and the rules and regulations made there under.

(c) The National Executive Council shall have the power to establish committees to serve the interest of Gallinais Kingdom Union; and these committees shall be headed by the vice chair.

(d) The National Executive Council shall meet at least — at a place and time to be approved by the executive.

FUNCTIONS
(a) To formulate and determine broad policies of the Gallinais Kingdom Union in accordance with the provisions of the bylaws

(b) Supervise and monitor the implementations of policies.

(c) To determine budget and approve plans to raise funds.

(d) Authorize the publication of newspapers/pamphlets; and aggressively propagate the policies and ideologies of the Gallinais Kingdom Union.

(e) Receive and consider reports and recommendation from the Advisory board.

TERMS OF OFFICE:
The Gallinais Kingdom Union National Executive officer’s term of office shall be TWO years and subject to re-election by the entire up to date paid up members.

THE CHAIR OF THE GALLINAIS KINGDOM UNION NATIONAL EXECUTIVE COUNCIL (a) He/she shall be the chief operating officer of the National Executive council. (b) He/she shall be elected by members of the Gallinais Kingdom Union

(c) He/she shall be elected by a simple majority of all registered and paid up members in good standing and shall hold office for a period of TWO years.

(d) He/she shall enforce the rules and regulations of Gallinais Kingdom Union in accordance with the bylaws.

(e) He/she shall preside over the National executive Council meetings.

(f) He/she shall have the power to appoint any National Executive Council officer as a shadow chair to chair the National Executive council meetings.

(g) He/she shall not hold office for two consecutive terms.

THE VICE CHAIR

(a) The vice chair shall be elected by members of the Gallinais Kingdom Union. (b) In the absence of the chair, the vice chair shall perform the duties of the chair. (c) The vice chair shall chair all the established committees

THE SECRETARY GENERAL (SECGEN)

(a) He/she shall be elected by simple majority of the Gallinais Kingdom Union paid up to date members. (b) He /she shall serve as the chief administrative scribe or officer of the Gallinais Kingdom Union National Executive Council (NEC) and the entire Gallinais Kingdom Union. (c) He/she shall summon meetings on the advice of the chair of the Gallinais Kingdom Union National Executive Council (NEC) and shall be responsible for taking minutes which shall always be read before subsequent meetings. (d) He/shall register and issue membership cards to all the Gallinais Kingdom Union members and liaise with the finance officer or treasurer to ascertain that subscriptions are paid up to date. (e) He/she shall be the custodian of the official stamp and seal of The Gallinais Kingdom Union. (f) He/she shall keep proper records at all meetings.

THE DEPUTY SECRETARY GENERAL (DEPUTY SECGEN)

(a) The deputy secretary general shall be elected by a simple majority of the Gallinais Kingdom Union paid up to date members. (b) In the absence of the secretary general, the deputy secretary general shall perform the duties of the secretary general.

THE COORDINATORS

(a) Coordinators are charged with coordinating all social activities and functions etc of the Gallinais Kingdom Union in concert with the women’s Leader and the Young generation Leader with the advice of the Advisory Board to raise funds.

THE TREASURER

(a) He/she shall be elected by a simple majority of the Gallinais Kingdom Union paid up to date members. (b) He/she shall receive all monies paid to the Gallinais Kingdom Union and issue receipts. (c) He/she shall present at the general meeting the income and expenditure of the Gallinais Kingdom Union as requested. (d) He/she shall keep the Gallinais Kingdom Union accounting documents including deposit and withdrawal slips. (e) He/she shall keep a monthly petty cash not exceeding $100.00. (f) He/she shall deposit all funds for the Gallinais Kingdom Union in Gallinais Kingdom Union’s account within two business days.

THE WOMEN’S LEADER

(a) She shall be elected by a simple majority of Gallinais Kingdom Union paid up to date members. (b) She shall liaise between the National Executive Council (NEC) and the female Gallinais Kingdom Union members. (c) She shall seek the welfare of Gallinais Kingdom Union female members in terms of need and works in close consonance with the Gallinais Kingdom Union National Executive Council (NEC) (d) She shall organize with the assistance of the young generation leader all social functions of Gallinais Kingdom Unoin. (e) She shall organize and mobilize all women for maximum participation in all the affairs of Gallinais Kingdom Union.

THE YOUNG GENERATION LEADER

(a) He shall be elected by a simple majority of up to date paid up members of Gallinais Kingdom Union. (b) He shall liaise between the National Executive Council (NEC) and all Gallinais Kingdom Union YOUTH members. (c) He shall seek the welfare of all Gallinais Kingdom Union youth members in terms of need and works in close consonance with the National Executive Council (NEC). (d) He shall organize with the assistance of the women’s leader all social functions of Gallinais Kingdom Union. (e) He shall organize and mobilize all youths for maximum participation in all the affairs of Gallinais Kingdom Union.

THE RAPID RESPONSE TEAM (RRT)- MEDIA AND COMMUNICATION CHAIR

(a) He/she shall be elected by a simple majority of up to date paid up members of Gallinais Kingdom Union (b) He/she shall act as a public relation officer of Gallinais Kingdom Union; and must be able to explain the aims and objectives of Gallinais Kingdom Union anywhere and at all times; and must work in close consonance with the Advisory Board. (c) He/she shall establish contact and maintain good working relationship with Gallinais Kingdom Union chapters and other organizations anywhere. (d) He/she shall communicate, communicate and communicate by any means necessary and reasonable in the interest of Gallinais Kingdom Union at all times.

THE SIERRABERIA STATE CHAPTERS

The Gallinais Kingdom Union National Executive Council shall encourage the formation of Gallinais Kingdom Union chapters in individual states headed by a chapter chair. They shall elect their own officers according to their own laws as required. However, ALL Gallinais Kingdom Union chapters MUST work in consonance with the Gallinais Kingdom Union National Executive Council and Advisory Board. This is a form of federal relations between the Gallinais Kingdom Union National Executive Council, the Advisory Board and the Gallinais Kingdom Union chapters in the United States. Gallinais Kingdom Union state chapters must tailor their own laws in nexus with the Gallinais Kingdom Union Bylaws.

THE SIERRABERIA ADVISORY BOARD

The Gallinais Kingdom Union Advisory Board is an independent and standalone Board; and shall comprise of reverend, matured and gallant worldly experience members. The Advisory Board members shall elect their own chair, vice chair and other officers as necessary of the Advisory Board.

FUNCTIONS

The Gallinais Kingdom Union Advisory Board is to advice and if necessary, approves all policy decisions of the Gallinais Kingdom Union National Executive Council (NEC) and Gallinais Kingdom Union state chapters on all matters in both Liberia/Sierra Leone and United States, before presentation to the Gallinais Kingdom Union general membership. The Advisory Board must also be adequately informed about all happenings in Cape Mount county and Pujehun district.

ARTICLE EIGHT: MONEY AND CONDUCT

ARTICLE EIGHT: Monthly dues/subscriptions, default, suspension and expulsion: (a) There shall be a monthly due of $…….. Payable by all Gallinais Kingdom Union members and….. (b) Any member who fails to pay his/her monthly subscriptions for two months shall pay a fine of $……….. (c) Any member who fails to pay his/her monthly subscriptions for 4 months shall automatically cease to be a member of Gallinais Kingdom Union. (d) Such a member, who wishes to re-register, shall pay a fresh registration fee plus advance subscriptions for 4 months. However, his/her application shall be determined by the Gallinais Kingdom Union National Executive Council on the advice of the advisory Board. (e) Any member whose conduct is considered inimical to the smooth running of Gallinais Kingdom Union or not in consonance with tenets of Gallinais Kingdom Union, shall have his/her membership terminated by two third members of Gallinais Kingdom Union upon the recommendation of the Gallinais Kingdom Union National Executive Council and approval of the Advisory Board.

(f) Upon written charges brought against any member, and upon such filing of such charges with the Secretary General, and upon hearing thereof by the National Executive Council in a duly convened meeting, and if found that those charges were true, the said member may be suspended and or expelled from Gallinais Kingdom Union . (g) Any member suspended or expelled, shall apply to be re-instated after 3 months before a committee of 5 appointed by the Gallinais Kingdom Union National Executive Chair. An affirmative majority vote of this committee to override such suspension or expulsion will be communicated to the National Executive Council, which will automatically rescind the original decision.

ARTICLE NINE: GENERAL MEETINGS

(a) The supreme authority in all matters relating to the affairs of Gallinais Kingdom Union shall be vested in the Gallinais Kingdom Union General Membership, at which every paid up to date member in good standing, shall have the right to vote. (b) The Gallinais Kingdom Union General membership shall approve or disapprove the Gallinais Kingdom Union National Executive
Council and Advisory Board reports, decisions and financial statements, and quickly refers to audit if the assembly so desire. (c) The Gallinais Kingdom Union National Executive Council shall call the Gallinais Kingdom union general membership to session ……… times a year.

ARTICLE TEN: VOTING

(a) Only Gallinais Kingdom Union up to date paid up members in good standing and present on the day of the election, are eligible to vote. They must be fully paid up at least on or before the last conference call or 5 days after the last conference call. (b) However, under extraneous circumstances, voting by proxy maybe allowed, if that member whose vote is by proxy, is fully paid up to date and in good standing. (c) Voting at any time shall be by secret ballot of fully paid up registered members in good standing. (d) A simple majority is required of all decisions to be binding; and in the event of a tie, the vice chair of Gallinais Kingdom Union National Executive Council shall cast the tie breaking vote. (e) This voting article shall be read along with all other voting Bylaws submitted in advance.

ARTICLE ELEVEN: FULL PARTICIPATION

(a) Gallinais Kingdom Union shall be open to all Sierra Leoneans and Liberians particularly Cape Mount County and Pujehun District who wish to become a member. (b) Participation in the affairs of Gallinais Kingdom Union shall be open pursuant to standards of non-discrimination and affirmative action incorporated into the Gallinais Kingdom Union Bylaws. ARTICLE 12 CHANNEL OF COMMUNICATION TO BOTH LIBERIA AND SIERRA LEONE. (a) With the exception of the Gallinais Kingdom Union Rapid Response Team (RRT) team, all other Gallinais Kingdom Union communications to both Liberia and Sierra Leone, shall be done by the Gallinais Kingdom Union National Executive Council via the Advisory Board. This enables Gallinais Kingdom Union USA to speak with one voice and to avoid communication breakdown

ARTICLE THIRTEEN: QUORUM

A quorum of one third of all Gallinais Kingdom Union members shall be sufficient for all Gallinais Kingdom Union meetings.

ARTICLE FOURTEEN: AMENDMENT TO THE BYLAWS

Notice of amendment to the Bylaws shall be circulated to all fully pay up members 30 days before the meeting at which the proposed amendment (s) is/are to be tabled. Upon approval, this Bylaw shall only be amended/repealed by a two third majority of fully paid up members present and voting.
